Terms of Service

1. Acceptance of Terms
By accessing or using Ash ("the Service"), operated by Alex Shapiro doing business as Ash ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Ash is a macOS application that sandboxes AI coding agents by restricting their access to files, networks, processes, and environment variables. The Service includes the Ash application, the policy registry, and the management console.
3. Eligibility
You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Accounts
You are responsible for maintaining the security of your account credentials and API tokens. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
5. License and Usage
Subject to these Terms, we grant you a non-exclusive, non-transferable license to use the Ash application on the number of machines permitted by your plan.
- Free plans are subject to the usage limits described on our website and may be modified or discontinued at our discretion.
- Personal plans are licensed for use by a single individual.
- Business plans are licensed per seat and may be used by members of your organization.
Cancellation and Refunds
You may cancel a paid plan at any time through the management console or by contacting us. Upon cancellation, your plan remains active until the end of your current billing period, after which your account reverts to the free plan. We do not provide prorated refunds for unused time within a billing period. If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 days of the transaction. You acknowledge that by activating your paid plan and beginning to use the Service, you expressly consent to the performance of the contract and acknowledge the loss of your right of withdrawal.
6. Policy Hub
Policies published to the Ash Policy Hub are subject to the following rules: policies must not be designed to weaken, bypass, or undermine security protections; must not contain malicious content; and must not violate any applicable law. You retain ownership of policies you create. By publishing a policy, you grant us a non-exclusive license to host, display, and distribute it through the Policy Hub. We reserve the right to remove policies that violate these rules or are otherwise harmful.
7. Intellectual Property
The Service and its original content (excluding user-published policies) are and shall remain the exclusive property of Alex Shapiro and his licensors. The Service is protected by copyright, trademark, and other applicable laws.
8. Prohibited Conduct
You agree not to:
- Use the Service to violate any applicable law or regulation
- Reverse engineer, decompile, or disassemble the Service, except as permitted by applicable law
- Attempt to circumvent license validation or usage limits
- Interfere with or disrupt the integrity of the Service
- Publish policies designed to weaken or bypass security protections
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the sandboxing will prevent all unauthorized access. You acknowledge that no security tool is infallible and that you use Ash at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability. Our total aggregate liability for any direct damages shall not exceed the amounts you have paid us in the twelve (12) months preceding the claim, or fifty US dollars (US $50), whichever is greater.
11. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Alex Shapiro from any claims, damages, or expenses arising from your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.
12. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. If you do not agree with the revised Terms, you may stop using the Service before the changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
13. Termination
We may suspend or terminate your access to the Service for material violation of these Terms, provided that we give you reasonable notice and an opportunity to cure the violation where practicable (except in cases of illegal activity or conduct that threatens the security or integrity of the Service, where immediate action may be taken). You may terminate your account at any time by contacting us or through the management console.
Upon termination, your license to use the Ash application ceases. You may request deletion of your account data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) shall survive.
14. Dispute Resolution
Before initiating any formal proceedings, you agree to contact us at legal@ashell.dev and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, it shall be resolved in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. This section does not override any mandatory consumer protection laws that grant you the right to bring proceedings in your local jurisdiction.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, or third-party service failures.
17. Assignment
We may assign or transfer these Terms and any rights or obligations hereunder without restriction. You may not assign or transfer these Terms without our prior written consent.
18. Waiver and Severability
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alex Shapiro regarding the Service.
